Balance Sheet Enhancement Bond

Emerging corporations have numerous and varied needs for capital and advisory services. For instance, utilizing an asset backed note structure, Broad Street could arrange for convertible debenture financing for emerging companies which combines a safe return to the investor and the much needed capital to companies unable to access this particular capital market.  This Balance Sheet Enhancement Bond is Principal guaranteed and enhances the Balance Sheet by creating a bond within a bond and adding additional capital.

The PNMA Balance Sheet Enhancement Bond is created when the Bond Investor purchases the first Bond.  From the first bond, the Issuer takes a portion of the proceeds of the first Bond and purchases a second bond.

The second bond, which is created with a staggered maturity to the first Bond with a separate and distinct Special Purpose Entity (SPE), is then purchased by the Bond Investor by using Treasury Shares or Convertible Warrants issued by the Bond Purchasing Entity.

By creating this second synthetic bond and using Treasury Shares or Convertible Warrants from the Bond Purchaser's Entity to purchase it, the second bond, is legally a separate and distinct asset and can be placed on the Bond Purchaser's Balance Sheet, thereby enhancing its Balance Sheet and providing additional regulatory capital to the Balance Sheet.

Broad Street also seeks to exploit access to the European marketplace through its extensive network of financial institutions, banks and fund managers. Raising capital in these markets can take less time and cost less money than domestic US transactions.

Where appropriate as to all of these operating activities, Broad Street and/or its customers and business partners will contract with or otherwise work through fully licensed broker/dealers, investment advisors, and similar parties that Broad Street identifies.
